5. Customer Responsibilities Relating to Use of the Services
Welcome to VizMan, developed by Naapbooks Limited. These Terms and Conditions ("Terms") govern your use of our website, web application, Android application, and iOS application (collectively, the "Services"). By accessing or using our Services, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.
"We", "us", "our": Refers to Naapbooks Limited and VizMan.
"You", "user": Refers to any individual or entity accessing or using our Services.
"Services": Refers to our website, web application, Android application, and iOS application.
"Customer": Refers to any individual or entity that subscribes to our Services.
"Affiliate": Any entity which directly or indirectly controls, is controlled by, or is under common control with such party.
"Customer Data": Data, text, files, and the like that Customer inputs and/or loads into the Services or that VizMan otherwise processes on Customer’s behalf in connection with providing the Services.
"Documentation": Description of the Services licensed by Customer contained in the official VizMan Services specifications.
You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this eligibility requirement.
To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Required information includes your name, phone number, and email. Each user is limited to one account, and account verification is OTP-based.
You are responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
Each organisation account on VizMan has one administrator. The administrator creates and manages user accounts within the organisation, configures the organisation’s settings and visitor form, and is the only user who can delete the organisation account or transfer ownership of it.
The Customer is responsible for ensuring that the individual holding the administrator role is authorised by the Customer to act on its behalf, and for transferring the administrator role before that individual leaves the Customer’s employment or ceases to be authorised. We act on instructions given through the administrator’s authenticated account and are not able to verify, independently of that authentication, whether a particular instruction was authorised internally by the Customer.
Ownership of an organisation account may be transferred to another user of the same organisation using the process in clause 11.2.
By subscribing to or purchasing our Services, you agree to pay all applicable fees as described on the payment page. Payments are due in full before access to the Services is provided.
All payments must be made via the authorized payment methods available through our payment gateway partners. We accept payments through credit cards, debit cards, net banking, UPI, and other supported payment options.
Prices for our Services are subject to change. Any price change will be communicated to you before your next billing cycle.
We offer refunds on a case-by-case basis, at our sole discretion. Requests for refunds must be submitted within 7 days of the initial subscription or payment. After this period, no refunds will be granted.
Refunds will not be provided for partial or unused portions of the Services.
If you believe there has been an error regarding the fees charged to your account, you must notify us in writing within 30 days. We will investigate the issue, and if we confirm an error, we will correct it.
As between the parties, Customer is responsible for (i) all activities conducted under its User logins, (ii) obtaining and maintaining any Customer Equipment and any ancillary software and/or services needed to connect to, access, install (only for the portions of the Services that are available for download by VizMan), or otherwise use the Services, except for any Hardware, and (iii) ensuring that it has the proper third-party licenses to make use of the Services with.
Customer shall use the Services solely for its internal business purposes, in compliance with applicable law (including any and all privacy and spam laws), and shall not: (a) resell, sublicense, lease, time-share or otherwise make the Services available to any third party (including customers of Customer); (b) process, send, or store infringing or unlawful material using the Services; (c) attempt to gain unauthorized access to, or disrupt the integrity or performance of, the Services or the data contained therein; (d) modify, copy, or create derivative works based on the Services; (e) do any "mirroring" or "framing" of any part of the Services, or create Internet links to the Services which include log-in information, user names, passwords, and/or secure cookies; (f) reverse engineer the Services; (g) propagate any virus, worms, Trojan horses, or other programming routine intended to damage any system or data; (h) access or use the Services for the purpose of building a competitive product or service or copying its features or user interface; or (i) use the Services, or permit it to be used, for purposes of product evaluation, benchmarking, or other comparative analysis intended for publication.
Customer shall retain all ownership rights in and to all Customer Data passing through or generated by the Services and Customer Confidential Information. VizMan shall have and retain all ownership rights in the Services and all work provided by VizMan during the course of providing Support to Customer (if any). VizMan hereby grants Customer a royalty-free, fully paid-up, nonexclusive license to use the foregoing on the same terms and conditions as the Services during the Term.
VizMan shall own any suggestions, enhancement requests, recommendations, or other feedback provided by Customer or its Users relating to the operation of the Services.
Your use of our Services is also governed by our Privacy Policy, which can be found at Privacy Policy. By using our Services, you consent to the collection and use of your information as described in the Privacy Policy. We collect data, text, files, and other information that users input and/or load into the Services or that VizMan processes on your behalf. We may use such information to improve and enhance the Services and for other development, diagnostic, and corrective purposes in connection with the Services and other Naapbooks offerings, and disclose such data in aggregate or other de-identified forms.
Our Privacy Policy also sets out how long we retain your information after an account is deleted, and the limited circumstances in which copies are retained beyond that period. See “How Long Will We Store Your Data” in the Privacy Policy.
All content, trademarks, service marks, logos, and other intellectual property displayed on our Services, including the VizMan logo and code, are the property of Naapbooks Limited or its licensors. You agree not to use, reproduce, or distribute any of our intellectual property without our prior written permission.
Our Services are provided on an "as-is" and "as-available" basis. We make no warranties or representations about the accuracy, reliability, completeness, or timeliness of our Services.
To the fullest extent permitted by law, Naapbooks Limited and its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our Services.
Naapbooks Limited shall defend, indemnify, and hold Customer harmless against any loss, damage, or costs (including reasonable attorneys' fees) incurred in connection with claims, demands, suits, or proceedings ("Claims") made or brought against Customer by a third party alleging that the use of the Services as contemplated hereunder infringes the intellectual property rights of such third party, provided that Customer (a) promptly gives written notice of the Claim to Naapbooks Limited; (b) gives Naapbooks Limited sole control of the defense and settlement of the Claim (provided that Naapbooks Limited may not settle any Claim unless it unconditionally releases Customer of all liability); and (c) provides to Naapbooks Limited, at Naapbooks Limited’s cost, all reasonable assistance.
Customer shall defend, indemnify, and hold Naapbooks Limited harmless against any loss, damage, or costs (including reasonable attorneys' fees) incurred in connection with any Claims made or brought against Naapbooks Limited by a third party alleging that the Customer Data infringes the intellectual property rights of such third party or Customer’s use of the Services in violation of any laws, provided that Naapbooks Limited (a) promptly gives written notice of the Claim to Customer; (b) gives Customer sole control of the defense and settlement of the Claim (provided that Customer may not settle any Claim unless it unconditionally releases Naapbooks Limited of all liability); and (c) provides to Customer, at Customer’s cost, all reasonable assistance.
You may stop using the Services at any time. If you are the administrator of an organisation, you may also delete your user account and transfer ownership of the organisation, or delete the organisation account altogether, using the processes in clauses 11.2 and 11.3. If you are any other user, deletion of your account is requested through your organisation’s administrator under clause 11.7. Deleting an account is not the same as cancelling a subscription; see clause 11.6.
An administrator who wishes to leave the organisation without closing it may delete their own account and transfer ownership of the organisation to another user of that organisation. In the Services this is done at Profile > Edit Profile > Delete Profile, selecting “No” to “Delete Organization”, choosing the receiving user and confirming the ownership transfer. The action requires your account password.
On completion, your user account is deleted and the selected user becomes the administrator of the organisation. The organisation, its other users, and its visitor records are unaffected.
An administrator may delete the entire organisation at Profile > Edit Profile > Delete Profile, selecting “Yes” to “Delete Organization”. The action requires your account password and an express confirmation.
Deleting the organisation deletes all user accounts within it and all visitor records held in it. You will be logged out immediately. This action cannot be undone by you or by us. If you are the administrator, you are confirming that you are authorised by the Customer to take this action on its behalf.
We may suspend or terminate your account and access to the Services if you breach these Terms, if required by law, or if your continued use presents a security or legal risk to us, other customers or third parties. Except where we are prevented from doing so by law, or where the breach requires immediate action, we will give you notice before terminating and, where the matter is capable of remedy, a reasonable opportunity to remedy it.
On termination or deletion, your right to access the Services ends. Deletion of your data follows the timetable set out in our Privacy Policy, which also describes the limited circumstances in which we retain information after that point. We recommend you export any records you need to keep before deleting an account.
Deleting an account does not by itself entitle you to a refund. Refunds are governed by clause 4.2, which requires any refund request to be made within 7 days of the initial subscription or payment, and we do not refund partial or unused portions of a subscription period.
If you are a user of an organisation but not its administrator, you may request deletion of your account from the same screen in the Services. Your request is sent to your organisation’s administrator, who may approve or decline it. Where the request is approved, your account is deleted and the timetable in our Privacy Policy applies. Where it is declined, your account remains active.
We process your account data on behalf of the organisation you belong to, which is why that decision rests with the organisation rather than with us. If you believe your request has been declined improperly, or you are unable to reach your administrator, contact us at privacy@vizman.app.
These Terms shall be governed by and construed in accordance with the laws of the State of Gujarat, Republic of India, without regard to its conflict of law principles.
We anticipate updating these Terms rarely. When we do, we will notify you of any changes by emailing you and posting the new Terms on our website and applications. Your continued use of our Services after any such changes constitutes your acceptance of the new Terms.
