Overview

Introduction

Welcome to VizMan, developed by Naapbooks Limited. These Terms and Conditions ("Terms") govern your use of our website, web application, Android application, and iOS application (collectively, the "Services"). By accessing or using our Services, you agree to comply with and be bound by these Terms.

If you do not agree with any part of these Terms, you must not use our Services. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Terminology

Definitions

"We", "Us", "Our"

Refers to Naapbooks Limited and VizMan.

"You", "User"

Refers to any individual or entity accessing or using our Services.

Services

Refers to our website, web application, Android application, and iOS application, including all updates, enhancements, and new features.

Customer

Refers to any individual or entity that subscribes to or purchases our Services.

Affiliate

Any entity which directly or indirectly controls, is controlled by, or is under common control with such party.

Customer Data

Data, text, files, and the like that Customer inputs and/or loads into the Services or that VizMan otherwise processes on Customer's behalf in connection with providing the Services, including personal data of individuals who interact with the Services at the Customer's premises.

Confidential Information

Any non-public information disclosed by one party to the other, whether orally, in writing, or by any other means, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Customer Data is always considered Confidential Information of the Customer.

Description of the Services licensed by Customer contained in the official VizMan Services specifications.

Access & Accounts

Use of Services

3.1

Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this eligibility requirement. If you are using the Services on behalf of a business entity, you represent that you are authorised to bind that entity to these Terms.

3.2

Account Registration

To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Required information includes your name, phone number, and email. Each user is limited to one account, and account verification is OTP-based.

3.3

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@vizman.app of any unauthorised use of your account or any other breach of security. VizMan will not be liable for any loss resulting from unauthorised use of your account where you have failed to maintain the security of your credentials.

Billing

Payments & Refunds

4.1

Payments

By subscribing to or purchasing our Services, you agree to pay all applicable fees as described on the payment page. Payments are due in full before access to the Services is provided. We accept payments through credit cards, debit cards, net banking, UPI, and other supported payment options available through our authorised payment gateway partners. Prices are subject to change and any change will be communicated to you in advance of your next billing cycle.

4.2

Refunds

Refund requests must be submitted within 7 days of the initial subscription or payment date by emailing support@vizman.app. We will review each request and respond within 5 business days. Refunds will be considered where:

The Services were not accessible due to a fault on our part for a material period

The Services delivered were materially different from what was described at the time of purchase

A duplicate charge was made in error

Refunds will not be provided for change of mind, partial use, or requests made after 7 days. Approved refunds will be processed to the original payment method within 7–10 business days.

4.3

Payment Disputes

If you believe there has been an error regarding the fees charged to your account, you must notify us in writing within 30 days of the charge. We will investigate and, if we confirm an error, we will correct it and process any applicable refund promptly.

Obligations

Customer Responsibilities

5.1

General Responsibilities

As between the parties, Customer is responsible for: (i) all activities conducted under its user logins; (ii) obtaining and maintaining any equipment and ancillary software or services needed to connect to or use the Services; and (iii) ensuring it holds appropriate third-party licences for use alongside the Services.

5.2

Acceptable Use

Customer shall use the Services solely for its internal business purposes and in compliance with all applicable laws, including privacy and data protection laws. Customer shall not:

Resell, sublicense, lease, or otherwise make the Services available to any third party

Process, send, or store infringing or unlawful material using the Services

Attempt to gain unauthorised access to or disrupt the integrity or performance of the Services

Modify, copy, or create derivative works based on the Services

Reverse engineer, decompile, or disassemble the Services

Propagate any virus, worm, Trojan horse, or other malicious code

Use the Services to build a competitive product or service or for benchmarking intended for publication

Rights

Ownership

6.1

Customer Ownership

Customer shall retain all ownership rights in and to all Customer Data and Customer Confidential Information. VizMan shall have and retain all ownership rights in the Services and all related work product. VizMan hereby grants Customer a royalty-free, non-exclusive licence to use such work product on the same terms as the Services during the subscription term.

6.2

Feedback

VizMan shall own any suggestions, enhancement requests, recommendations, or other feedback provided by Customer or its users relating to the operation of the Services. By submitting feedback, Customer grants VizMan an irrevocable, worldwide, royalty-free licence to use and incorporate such feedback into the Services without any obligation of attribution or compensation.

Data Security

Confidentiality

Each party agrees to protect the other's Confidential Information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

7.1

VizMan's Obligations

VizMan shall: (a) keep all Customer Data and Customer Confidential Information strictly confidential; (b) not disclose Customer Data to any third party except as permitted under these Terms or as required by law; (c) use Customer Data only for the purpose of delivering and improving the Services; (d) restrict access to Customer Data to employees and subprocessors who have a need to know and are bound by confidentiality obligations no less protective than these Terms; and (e) implement and maintain appropriate technical and organisational security measures, including encryption of data at rest and in transit, to protect Customer Data from unauthorised access, disclosure, alteration, or destruction.

7.2

Permitted Disclosures

Either party may disclose Confidential Information where required by applicable law, court order, or regulatory authority, provided that the disclosing party: (a) gives the other party prompt prior written notice where legally permitted; (b) cooperates with reasonable efforts to obtain a protective order; and (c) discloses only that portion of the Confidential Information strictly required by law.

7.3

Survival

The confidentiality obligations in this Section shall survive the termination or expiry of these Terms for a period of three (3) years, except in respect of trade secrets which shall remain protected for as long as they retain trade secret status.

GDPR & DPDP

Privacy & Data Processing

8.1

Privacy Policy

Your use of our Services is also governed by our Privacy Policy, available at vizman.app/privacy-policy. By using our Services, you consent to the collection and use of your information as described in the Privacy Policy. In the event of any conflict between these Terms and the Privacy Policy on a data protection matter, the Privacy Policy shall prevail.

8.2

Data Processing — VizMan as Processor

To the extent that VizMan processes personal data of individuals (such as visitors, employees, or event attendees) on behalf of a Customer, VizMan acts as a Data Processor (under GDPR) and sub-Data Fiduciary (under the DPDP Act 2023). In such circumstances: (a) the Customer is the Data Controller / Data Fiduciary and is responsible for ensuring a lawful basis for processing; (b) VizMan will process such personal data only on the Customer's documented instructions; (c) VizMan will implement appropriate technical and organisational measures to protect such data; and (d) VizMan will assist the Customer in meeting its own obligations under applicable data protection law, including responding to data subject rights requests. Enterprise customers requiring a formal Data Processing Agreement (DPA) may request one by contacting privacy@vizman.app.

8.3

Aggregate & Anonymised Data

VizMan may use Customer Data in aggregate, anonymised, or de-identified form that does not identify Customer or any individual for the purpose of improving and developing the Services. Such aggregated data is not considered Confidential Information or Customer Data.

IP

Intellectual Property

All content, trademarks, service marks, logos, and other intellectual property displayed on our Services, including the VizMan name, logo, and underlying code, are the property of Naapbooks Limited or its licensors. You agree not to use, reproduce, or distribute any of our intellectual property without our prior written permission. Nothing in these Terms grants you any rights in our intellectual property other than the limited licence to use the Services as described herein.

Liability

Disclaimers & Limitation of Liability

10.1

No Warranty

The Services are provided on an "as-is" and "as-available" basis. While VizMan takes reasonable steps to ensure the reliability and availability of the Services, we do not warrant that the Services will be uninterrupted, error-free, or completely secure. We make no representations about the accuracy, completeness, or timeliness of any information provided through the Services.

10.2

Limitation of Liability

To the fullest extent permitted by applicable law, VizMan's total aggregate liability to Customer arising out of or in connection with these Terms or the Services — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total fees paid or payable by Customer to VizMan in the twelve (12) months immediately preceding the event giving rise to the claim.

VizMan shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or relating to your use of the Services, even if VizMan has been advised of the possibility of such damages.

Important — Exceptions to the Liability Cap

Nothing in these Terms excludes or limits either party's liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) wilful misconduct or gross negligence; (d) any liability that cannot be excluded or limited under applicable law, including the Indian Contract Act 1872 and the Consumer Protection Act 2019; or (e) a party's obligations under the confidentiality provisions of Section 7.

Protection

Indemnification

11.1

VizMan's Indemnification

Naapbooks Limited shall defend, indemnify, and hold Customer harmless against any loss, damage, or costs (including reasonable legal fees) in connection with third-party claims alleging that the use of the Services as contemplated under these Terms infringes that third party's intellectual property rights, provided that Customer: (a) promptly gives written notice of the claim to Naapbooks Limited; (b) gives Naapbooks Limited sole control of the defence and settlement; and (c) provides all reasonable assistance at Naapbooks Limited's cost.

11.2

Customer's Indemnification

Customer shall defend, indemnify, and hold Naapbooks Limited harmless against any loss, damage, or costs (including reasonable legal fees) in connection with third-party claims arising from: (a) Customer Data infringing the intellectual property rights of a third party; or (b) Customer's use of the Services in violation of applicable law, provided that Naapbooks Limited: (i) promptly gives written notice of the claim to Customer; (ii) gives Customer sole control of the defence and settlement; and (iii) provides all reasonable assistance at Customer's cost.

Ending the Agreement

Termination

12.1

Termination for Convenience

Either party may terminate these Terms for any reason by providing 30 days' written notice to the other party. Customer may send notice to support@vizman.app. VizMan will send notice to the email address registered to the Customer account. No refund is due for any unused portion of a prepaid subscription term unless the termination is due to VizMan's material breach.

12.2

Termination for Breach

Either party may terminate these Terms immediately by written notice if the other party commits a material breach of these Terms and, where the breach is capable of remedy, fails to remedy it within 14 days of receiving written notice specifying the breach and requiring its remedy.

12.3

Immediate Suspension or Termination

Notwithstanding the above, VizMan may suspend or terminate access immediately and without prior notice where: (a) Customer's use of the Services poses a security risk to VizMan or other users; (b) Customer is using the Services in a manner that may expose VizMan to legal liability; (c) Customer engages in fraudulent or illegal activity; or (d) continued access would violate applicable law. VizMan will notify Customer of the reason for suspension or termination as soon as reasonably practicable.

12.4

Effect of Termination — Data Return & Deletion

Upon termination or expiry, Customer's right to access the Services ceases immediately. VizMan will make Customer Data available for export for a period of 30 days following the effective date of termination, after which VizMan will delete Customer Data from its systems in accordance with its data retention policy. Sections 7 (Confidentiality), 10 (Liability), 11 (Indemnification), and 14 (Governing Law) shall survive termination.

Updates

Changes to These Terms

We anticipate updating these Terms rarely. When we do make changes, we will distinguish between minor and material changes as follows:

Minor Changes

Corrections of typographical errors, clarifications that do not alter rights or obligations, or changes required by law with no material impact on customers. We will post the updated Terms on our website and update the "Last Updated" date. Your continued use of the Services constitutes acceptance of minor changes.

Material Changes

Changes that affect your rights, obligations, pricing, data processing, or liability. For material changes, we will notify you by email at least 14 days before the changes take effect. Changes that affect how personal data is processed will require your explicit acknowledgement before taking effect. If you do not agree to a material change, you may terminate your account before the effective date without penalty.

Jurisdiction

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Gujarat, Republic of India, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute is not resolved within 30 days of written notice, it shall be submitted to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.
